Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and BusinessAgentCloud ("we," "us," or "our") governing your access to and use of the BusinessAgentCloud platform, including the website at businessagentcloud.com, related subdomains, and all associated services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

3. Description of Service

BusinessAgentCloud is a software-as-a-service (SaaS) platform that enables users to discover, deploy, and manage AI-powered virtual agents for various business functions. The Service includes, but is not limited to:

  • Browsing and hiring AI agent templates from a gallery of pre-configured agents.
  • Configuring and managing deployed AI agent instances, including integration with third-party services.
  • A credit-based billing system for agent usage and operations.
  • Optional rented resources (such as phone numbers and email accounts) as add-on subscriptions.
  • Customer-facing agent pages, including booking interfaces, chat interfaces, and other agent-specific functionality.

4. Account Registration and Security

To access most features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the security of your account credentials and not share them with third parties.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

5. Subscriptions, Credits, and Payments

5.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. Subscription plans are billed on a recurring monthly basis. By subscribing, you authorize us to charge the applicable fees to your designated payment method at the start of each billing cycle.

5.2 Credits

The Service operates on a credit-based system. Credits are consumed when AI agents perform actions. Subscription plans include a monthly allocation of credits. Additional credits may be purchased as one-time credit packs. Subscription credits expire at the end of each billing cycle and do not roll over. Credit pack credits expire 12 months from the date of purchase.

5.3 Resource Add-ons

Certain AI agents may require or offer optional rented resources (such as phone numbers or email accounts). These are billed as separate monthly subscriptions. Rented resources are provisioned by third-party providers and subject to their terms and availability.

5.4 Payment Processing

All payments are processed through our third-party payment processor (Stripe). By providing payment information, you agree to Stripe's terms of service. All fees are stated in US dollars unless otherwise indicated and are non-refundable except as expressly stated in these Terms or required by applicable law.

5.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. No partial refunds are provided for unused portions of a billing period. Credit packs are non-refundable once purchased.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose.
  • Violate any applicable local, state, national, or international law or regulation.
  • Use AI agents to generate, distribute, or facilitate harmful, abusive, harassing, defamatory, or misleading content.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use automated means (bots, scrapers, etc.) to access the Service except through our published APIs.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate your access to the Service if we determine, in our sole discretion, that you have violated these acceptable use requirements.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by or licensed to BusinessAgentCloud and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

7.2 Your Content

You retain ownership of any data, content, or configurations you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive license to use, process, and store it solely as necessary to provide the Service to you. We will not use Your Content for any purpose other than providing and improving the Service.

8. AI Agents and Output

AI agents provided through the Service are automated tools that generate outputs based on algorithms and configurations. You acknowledge and agree that:

  • AI-generated outputs may not always be accurate, complete, or suitable for your specific needs. You are responsible for reviewing, verifying, and approving any outputs before relying on them.
  • We do not guarantee specific results, outcomes, or performance levels from any AI agent.
  • You are solely responsible for how you use AI agent outputs in your business operations and for ensuring compliance with applicable laws and regulations.
  • AI agents interact with third-party services (such as phone systems, email, and calendars) on your behalf. You are responsible for ensuring you have the appropriate rights and permissions for such interactions.

9. Third-Party Services

The Service integrates with and relies on third-party services, including but not limited to payment processors, cloud infrastructure providers, communication platforms, and authentication providers. Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or conduct of any third-party service, and we make no warranties regarding their performance.

10. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update these Terms, pricing, features, or credit costs as the Service evolves. Material changes to pricing will be communicated to affected subscribers in advance. We are not liable for any modification, suspension, or discontinuation of the Service.

11. Termination

You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your access to the Service at any time, with or without cause, including but not limited to violation of these Terms. Upon termination:

  • Your right to access and use the Service will immediately cease.
  • Any outstanding fees or charges will remain payable.
  • Active subscriptions for rented resources will be canceled and those resources will be deprovisioned.
  • Agent configuration data will be retained for 90 days, after which it may be permanently deleted.
  • Unused credits are forfeited and non-refundable upon termination.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components. We do not warrant or make any representations regarding the accuracy, reliability, or completeness of any content, information, or results obtained through the Service, including AI-generated outputs.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUSINESSAGENTCLOUD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless BusinessAgentCloud and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; or (e) any content or data you submit to or through the Service.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at sghaith@agenthub.ie and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against BusinessAgentCloud.

15.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the federal and state courts located in the United States.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BusinessAgentCloud regarding the Service and supersede all prior agreements, understandings, and communications.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or third-party service outages.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide additional notice (such as an email notification). Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
